Terms of Service

Effective date: January 1, 2026

Please read these Terms of Service carefully before using Open DB Studio. These Terms constitute a legally binding agreement between you and Open DB Studio regarding your use of the Software and website.

1. Acceptance of Terms

By downloading, installing, or using Open DB Studio ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. These Terms apply to: • The Open DB Studio desktop application. • The Open DB Studio website (opendbstudio.com). • Any updates, upgrades, or new versions released under the Open DB Studio name.

2. License Grant

Subject to these Terms, Open DB Studio grants you a limited, non-exclusive, non-transferable, revocable license to: • Basic (Free) plan — Install and use the Software on one personal device for personal or commercial purposes, within the feature limits of the Free tier. • Standard plan — Install and use the Software on one device per purchased license for personal or commercial purposes with full feature access. • Pro plan — Install and use the Software on up to three devices per purchased license. You may not sublicense, sell, rent, lease, transfer, or otherwise redistribute the Software or your license to any third party.

3. Restrictions

You agree NOT to: • Reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law. • Remove or alter any proprietary notices, labels, or marks on the Software. • Use the Software to develop a competing database management product. • Share, resell, or transfer your license key to another party. • Use the Software in any way that violates applicable laws or regulations.

4. Updates & Support

Paid licenses (Standard and Pro) include software updates and bug fixes for a period of 12 months from the date of purchase. After this period: • Your installed version continues to work indefinitely ("perpetual license"). • You may optionally renew your update entitlement for continued access to new versions. • Security patches for critical vulnerabilities may be provided at our discretion beyond the update period. Free (Basic) users receive updates at our discretion. We do not guarantee any specific update cadence for free users.

5. Payments & Refunds

All purchases are processed securely. Prices are in USD and are subject to change with notice. Refund policy: We offer a 7-day money-back guarantee on all paid plans. To request a refund, contact us at opendbstudio@gmail.com within 7 days of purchase with your order details. Refunds are issued to the original payment method within 5–10 business days. Refunds are not available after 7 days or if a license key has been used to activate on multiple devices in violation of these Terms.

6. Your Data & Privacy

Open DB Studio is a locally-running application. Your database credentials, query results, and data are stored on your own machine and are never transmitted to our servers. For information about data collected through our website and contact forms, please refer to our Privacy Policy at opendbstudio.com/privacy.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: • The Software will be error-free or uninterrupted. • Defects will be corrected within any specific timeframe. • The Software is free of viruses or other harmful components. You assume all responsibility for selecting the Software for your needs and for the results obtained from using it.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPEN DB STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Software after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email (if provided) or via an in-app notice.
